1. Acceptance of Terms

By accessing or using the KOPERNIKUS AI receptionist service ("Service") provided by KOPERNIKUS, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

KOPERNIKUS provides an AI-powered bilingual (Korean/English) telephone receptionist service for businesses. The Service includes:

• AI-powered inbound call answering in Korean and English
• SMS notifications for call summaries and daily reports
• Call recording and transcript storage
• Live call transfer to business owner/staff
• Web-based dashboard for call management

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Subscription & Payment

• Pricing: The Service is offered at $99 per month. No setup fees or long-term contracts are required.
• Billing: Your subscription will be billed monthly through Stripe. By providing payment information, you authorize us to charge the applicable fees.
• Usage Limits: Each subscription includes 300 minutes of AI call handling per month. A hard cap of 500 minutes applies. If you exceed the hard cap, incoming calls will be automatically forwarded to your phone instead of being handled by AI until the next billing cycle.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

6. Acceptable Use

You agree not to use the Service to:

• Engage in any illegal, fraudulent, or harmful activity
• Transmit spam, phishing, or unsolicited messages
• Interfere with or disrupt the Service or its infrastructure
• Impersonate another person or entity
• Violate any applicable local, state, national, or international law

7. Call Recording Disclosure

Our Service records incoming calls for quality assurance and your review. You are responsible for complying with all applicable call recording laws in your jurisdiction, including providing appropriate notice or obtaining consent from callers as required. The AI receptionist includes a standard disclosure at the beginning of each call.

8. Intellectual Property

All content, technology, and intellectual property associated with the Service, including but not limited to the AI models, voice synthesis, software, and branding, are the exclusive property of KOPERNIKUS, LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service during your active subscription.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOPERNIKUS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted, error-free, or that AI responses will be 100% accurate.

11. Indemnification

You agree to indemnify, defend, and hold harmless KOPERNIKUS, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or violation of these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Queens County, New York.
